These Terms and Conditions ("Terms") govern your access to and use of Fennel Cloud (the "Service"), operated by iByte Innovations ("Company", "we", "us", or "our"). By accessing or using Fennel Cloud, you agree to be bound by these Terms.
By creating an account, accessing, or using any part of the Service, you acknowledge that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not use the Service.
Fennel Cloud is a cloud-based platform providing a suite of business productivity tools, including but not limited to lead management, and additional tools as they become available. The Service is provided on a subscription basis with various plan tiers.

The Service operates on a multi-tenant architecture. Each organization ("Organization") has a designated owner who may invite additional team members. The Organization owner is responsible for:
New accounts receive a free trial period of 30 days. During the trial, you have access to all features of your selected plan. No credit card is required to start a trial.
After the trial period, continued use of the Service requires a paid subscription. Plans are available on a monthly or annual billing cycle. Prices are displayed on our pricing page and are subject to change with 30 days' prior notice.
All fees are charged in advance. Payments are non-refundable except as required by law or as explicitly stated in these Terms. You authorize us to charge the payment method on file for recurring subscription fees.
You may cancel your subscription at any time. Upon cancellation, your access will continue until the end of the current billing period. After that, your account will be downgraded and your data will be retained for 30 days, after which it may be permanently deleted.
You agree not to use the Service to:
You retain all rights to the data and content you upload to the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely as necessary to provide the Service to you.
We do not claim ownership of Your Content. We will not access, use, or share Your Content except as necessary to operate the Service, comply with the law, or enforce these Terms.
We implement industry-standard security measures to protect your data, including encryption in transit (SSL/TLS), secure password hashing, and regular backups. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.
The Service may integrate with third-party platforms (such as Meta/Facebook). Your use of third-party integrations is subject to the respective third party's terms of service and privacy policy. We are not responsible for the practices or content of third-party services.
The Service, including its design, code, features, documentation, and branding, is the intellectual property of iByte Innovations and is protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without prior written consent.
We strive to maintain high availability of the Service, but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors outside our control, including internet outages, server failures, or force majeure events.
To the maximum extent permitted by law, iByte Innovations and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
Our total liability for any claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We may suspend or terminate your access to the Service at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including sections on liability, intellectual property, and dispute resolution.
We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which iByte Innovations is registered, without regard to conflict of law principles.
